Terms of Service

1. What Ducta is

Ducta is estimating software for MEP contractors: AI-assisted quantity takeoff from drawings, a firm-owned rate book, and priced BOQ / quotation documents. It is a tool that accelerates your estimators — it is not an engineering consultancy and does not provide professional engineering or quantity-surveying services.

2. Your account and firm

You are responsible for the accuracy of what your firm enters (rates, drawings, tender details) and for the people you invite. Roles you assign inside the product (owner, admin, estimator, viewer) govern what your team can change.

3. Estimating responsibility — the honest-tool clause

Ducta shows its working: every quantity is traceable to the drawing, every rate to your book or a labelled starter, and every assumption is flagged on screen and printed on the document. Because tender submissions are commercial decisions built on information only you hold, your firm owns every number it submits. You must review quantities, rates and qualifications before issuing any BOQ or quotation to a client. Ducta is not liable for the outcome of a bid, including errors in a submitted document that the product had flagged for review.

4. Your data

Your drawings, rates and documents remain yours. We host and process them only to provide the service, as described in the Privacy & Data Residency page. We never train AI models on your project data and never expose your data to another firm.

5. Fees

Paid plans are billed as agreed at purchase (design-partner agreements may lock preferential terms). AI-metered usage, where applicable, is stated on the plan. We will not change a locked partner price during its agreed term.

6. Acceptable use

No reselling access, no attempting to reach another firm's data, no reverse-engineering the AI pipeline, no uploading content you have no right to process.

7. Availability & support

We target continuous availability but the service is provided "as is" during the design-partner phase. We alert on failures and keep logical backups of business data; partner-specific support terms live in the partner agreement.

8. Liability

To the maximum extent permitted by UAE law, Ducta's aggregate liability is limited to the fees paid in the twelve months before the claim; neither party is liable for indirect or consequential loss. Nothing limits liability for fraud or wilful misconduct.

9. Term & termination

You may stop using the service and request deletion at any time. We may suspend accounts for breach of these terms after written notice. Clauses 3, 4 and 8 survive termination.

10. Governing law

These terms are governed by the laws of the United Arab Emirates; disputes go to the UAE courts.
